The Authority and Functions of the Board and the Administrative Structure of Corporate Legal Representative

Modern corporation is a system of rights which comprises the right of property, control, administration and management. The four rights, related yet distinctive, interact to promote the corporate operation. The administrative right is executed in the modern corporate system by the Board, which monitors and supervises the managerial staff on behalf of the shareholders to prevent any damage to their rights and interests arising possibly from the isolation of property right from management. Administration of a corporation is not a isolated process, whose operation and effect is influenced by such factors as social pressure, economic management system, structure of property right, board organization pattern, etc. Full consideration and enough attention must be paid to these factors before we can establish a well-organized and effective administrative mechanism in corporations.
