| 摘 要： | 浙江东阳市人民医院实行董事会领导下的院长负责制是涉及公立医院内部治理和外部治理的一项重大改革。其法人治理结构改革的条件是捐赠资金的非营利性目的产生了对公立医院法人治理结构改革的要求，并为公益人士参与公立医院治理提供了机会。操作者对非营利性组织法人治理结构的深刻理解和精细操作，使其在非营利性组织的制度框架下，通过法人治理结构对医院的人事管理权和经营管理权进行了合理分权管理并形成了制衡机制。浙江东阳市人民医院的法人治理结构呼唤立法保障。
