| 摘 要： | 现代公司以股东的有限责任制为基本的责任形式。但是，有限责任制度尽管有许多优点而为法律所肯定，毕竟是一个尚有缺陷的制度，其主要表现在对公司债权人保护的相对薄弱。为了完善投资环境，保障交易安全，必须在股东有限责任公司债权人权益之间寻求一种平衡，设立一些强制性的规定，资本确定、资本维持、资本不变原则以及据此而形成的法律制度，便是寻找这种法律平衡物的形成的有效制度安排。

| Abstract: | modem companies are based on the duty form of limited responsibility. However, the limited companies have some shortcomings as well, for instance, the frail protection of the debt owners. There should have a balance between the share-holders and its debt owners, applying laws to the all the establishment of all these rules. |
